The team has deep understanding of, and extensive experience in, the latest structures and terms used in the full range of capital markets transactions. These include initial public offerings (on the London Stock Exchange, Euronext, and other European exchanges), registered offerings in the U.S., Rule 144A and Regulation S offerings of debt and equity securities, privatizations, offerings of high yield debt securities, Eurobond and Yankee bond offerings, and complex hybrid and other securities designed to meet regulatory capital requirements.
The firm’s European offices have both European and U.S.-qualified lawyers who focus on capital markets. The international perspective of the team, and its ability to provide both local and U.S. advice, allows it to steer clients through complex capital markets transactions in a range of jurisdictions, including guiding European issuers through compliance with U.S. securities laws.
The European capital markets team draws on the firm’s strong understanding and involvement in specific industry sectors to offer tailored solutions. For example, the firm’s extensive experience in the private equity market makes the capital markets team ideally equipped to represent private equity sponsors on leveraged financings and other transactions involving portfolio companies, as well as in transactions involving the establishment of vehicles such as listed funds. Similarly, the team has a strong track record in working alongside Debevoise’s highly regarded Insurance practice to advise insurance companies on their capital markets-related transactions.
