Debevoise & Plimpton LLP has been recognized by Airfinance Journal for the “Overall Deal of the Year” in its 2014 Deal of the Year Awards for the firm’s work advising American International Group, Inc. (“AIG”) in its sale of International Lease Finance Corporation (“ILFC”) to AerCap Holdings N.V. (“AerCap”) for approximately U.S. $7.6 billion, based on AerCap’s share price at the time of closing. Airfinance Journal’s Deal of the Year Awards recognize “a selection of the best financings of last year by both region and financing structure.”
Airfinance Journal called the deal “an obvious choice for overall deal of the year” and noted that “no other deal has transformed the aircraft leasing space so completely in the last 12 months.”
AIG sold its 100% interest in ILFC to AerCap in exchange for consideration of $3.0 billion of cash, $600 million of which was funded by a special dividend paid by ILFC to AIG, and 97,560,976 newly issued AerCap common shares. The transaction marks the last major disposition of AIG’s non-core assets.
